บริษัท บ้านปู จำกัด (มหาชน) ผู้นำด้านธุรกิจพลังงานแห่งเอเชีย เตรียมต่อยอดการเติบโตด้วยกลยุทธ์ธุรกิจซึ่งรองรับด้วยแผนระดมทุนเพื่อเสริมโครงสร้างทางการเงิน เน้นกระแสเงินสด และนโยบายจ่ายปันผลต่อเนื่อง
นางสมฤดี ชัยมงคล ประธานเจ้าหน้าที่บริหาร บริษัท บ้านปู จำกัด (มหาชน) เปิดเผยว่า “แม้ว่าวัฏจักรราคาสินค้าโภคภัณฑ์ในตลาดโลกจะมีความผันผวน บ้านปูฯ ยังเดินหน้าได้อย่างมั่นคงด้วยการบริหารกระแสเงินสดอย่างมีประสิทธิภาพ ฐานะทางการเงินที่มีสภาพคล่องสูง และมีนโยบายพิจารณาจ่ายเงินปันผลอย่างต่อเนื่อง สำหรับการเติบโตก้าวต่อไป บริษัทฯ ได้เตรียมแผนระดมทุนเพื่อเสริมโครงสร้างทางการเงินให้แข็งแกร่งมากขึ้น และเตรียมเสนอแผนการออกหุ้นเพิ่มทุนและวอแรนต์ในที่ประชุมสามัญผู้ถือหุ้นประจำปี 2559 ซึ่งจะมีขึ้นในวันที่ 19 เมษายน 2559 โดยคาดว่าจะระดมทุนจากโครงการนี้ได้ราว 12,900 ล้านบาท เพื่อลดภาระหนี้ และเพิ่มความยืดหยุ่นในการเข้าถึงแหล่งเงินทุนได้อย่างคล่องตัวเมื่อมีโอกาสการลงทุนที่เหมาะสมในอนาคต”
บ้านปูฯ และบริษัทPT Indo TambangrayaMegahTbkหรือ ITM ซึ่งเป็นบริษัทลูกที่จดทะเบียนในตลาดหลักทรัพย์อินโดนีเซีย ยังคงมองหาโอกาสที่จะลงทุนในจังหวะที่สินทรัพย์ภาคอุตสาหกรรมถ่านหินยังมีราคาไม่สูง และเตรียมประเมินทางเลือกการลงทุนใหม่ๆ ที่จะช่วยต่อยอดจุดแข็งของบ้านปูฯ ด้วยนโยบายการดำเนินงานที่มุ่งเน้นเติบโตอย่างยั่งยืนและสร้างมูลค่าเพิ่มให้กับผู้ถือหุ้นอย่างต่อเนื่อง
“บ้านปูฯ เดินหน้าสู่ปี 2563 อย่างมั่นคง มุ่งสร้างการเติบโตทางธุรกิจต่อเนื่องบนนโยบายความยั่งยืน สอดคล้องกับCOP 21 และแนวโน้มของโลกที่ให้ความสำคัญกับการใช้ทรัพยากรและยุทธศาสตร์การกระจายเชื้อเพลิง โดยคำนึงถึงความมั่นคงด้านพลังงาน และราคาพลังงานที่เหมาะสม ในแผนระยะยาว บริษัทฯ เน้นการลงทุนในพลังงานทดแทน รวมทั้งเทคโนโลยีโรงไฟฟ้าที่มีประสิทธิภาพในการใช้เชื้อเพลิงสูงและปล่อยมลภาวะต่ำ (High Efficiency Low Emissions: HELE) พร้อมกับประเมินโอกาสทางธุรกิจใหม่ๆ ที่เกี่ยวเนื่องอย่างสม่ำเสมอเพื่อต่อยอดการเติบโตให้กับธุรกิจในปัจจุบัน โดยอาศัยจุดแข็งด้านทักษะในการบริหารโครงการ และฐานการดำเนินงานที่มีอยู่ในหลายประเทศทั่วภูมิภาค” นางสมฤดี กล่าวเสริม

แผนงานทางการเงินที่จะดำเนินต่อไปของบ้านปูฯ คือการเสนอขายหุ้นไอพีโอของบ้านปูเพาเวอร์ หรือ BPP โดยนำเข้าจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทย ซึ่งปัจจุบัน BPP ดำเนินธุรกิจไฟฟ้าและพลังงานทดแทน โดยมีแผนระดมทุนเพื่อใช้ในการลงทุนเพิ่มเติม รวมทั้งซื้อสินทรัพย์ในธุรกิจพลังงานทดแทน และเทคโนโลยีโรงไฟฟ้าที่มีการปล่อยมลภาวะต่ำในภูมิภาคเอเชีย-แปซิฟิก ล่าสุด แบบแสดงรายการข้อมูลการเสนอขายหลักทรัพย์(ไฟลิ่ง) ของ BPP ได้ผ่านการพิจารณาอนุมัติของคณะกรรมการกำกับหลักทรัพย์และตลาดหลักทรัพย์ ตามกระบวนการที่วางไว้
“ตามที่ กลต. ได้อนุมัติไฟลิ่งของบ้านปูเพาเวอร์เป็นที่เรียบร้อยแล้ว จากนี้ บริษัทฯ จะพิจารณาช่วงเวลาที่เหมาะสมในการที่จะนำหุ้นบ้านปูเพาเวอร์เสนอขายต่อนักลงทุนในลำดับต่อไป โดยมีแผนที่จะนำเงินที่ได้จากการระดมทุนไปใช้จ่ายในโครงการที่มีอยู่แล้วในปัจจุบันซึ่งกำลังเติบโตอย่างต่อเนื่อง และจะมีกำลังผลิตติดตั้งตามสัดส่วนการลงทุนรวมราว 2.4 กิกะวัตต์ ภายในปี 2563 ขณะที่เงินทุนอีกส่วนหนึ่งจะนำไปใช้ในการลงทุนเพื่อขยายพอร์ทให้ใหญ่ขึ้นตามเป้าหมายที่วางไว้คือมากกว่า 4 กิกะวัตต์ภายในต้นทศวรรษ 2020นับเป็นการเติบโตก้าวที่สำคัญต่อไปของบ้านปูฯ”นางสมฤดี กล่าวปิดท้าย

Ms.SomruedeeChaimongkol, Chief Executive Officer of Banpu Public Company Limited (Banpu) spoke to the press today about the company’s preparations for a new era of growth.She spoke about the financial and strategic aspects of these preparations.
“Despite the down-cycle in commodity prices, Banpu has maintained robust cashflow performance, strong balance sheet liquidity and a solid dividend payout trackrecord. But to ensure the company has sufficient funding for a new phase of growth,Banpu has recently made some important decisions” explained Ms.Chaimongkol.The first step, subject to approval at the Annual General Meeting (AGM) scheduled for 19th April 2016, will be a rights offering and warrant issue, with the objective of raising THB 12.9 billion (approximately USD 366 million at current exchange rates). The proceeds will be used to pay down debt, giving the company room to secure additional funding at a later stage for new growth.
While Banpu and its Indonesian subsidiary, PT Indo TambangrayaMegahTbk, listed on the Indonesian stock exchange, will continue to lookfor opportunities to take advantage of low coal sector asset prices, the Banpu group has also begun toevaluate new and synergistic forms of diversification beyond coal.Any new business growth will be fully aligned with Banpu’s philosophy of sustainability and long-term shareholder value creation.
Ms.Chaimongkolexplained: “By 2020 Banpumust become both ‘smarter’ and ‘greener’. We need to be smarter inleveraging and synergizing our unique aptitudes and regional presence. And we must get greener by investing in energy technologies which meet the world’s growing energy supply needs reliably and affordably while reducing environmental impact, in line with the COP21 UN climate change conference,and the objectives of energy and fuel diversification. Banpu’s focus on investing in renewable energy and high efficiency low emissions (HELE) conventional power will form a central part of this new approach. But the company is also actively evaluating new business directions.”
Ms.Chaimongkolcontinued: “We have been conducting a strategic review of innovative newbusiness strategies which are synergistic with - or complementary to- existing assets and skillsets. Banpu has some exceptional qualities includinga proven ability to establishfootholds in new countries quickly and successfully - and a rare talent for learning and mastering new technologies.Our first big acquisitions in Indonesian coal over a decade-and-a-half ago, our move into underground mining in China a decade ago – and our recent investments in solar in Japan are all good examples of this. I believe Banpu is now ready toadapt again – and to leverage its unique skills and international presence to bring about a new phase of expansion and shareholder value creation.”
The second major step in Banpu’s financial plan will be the initial public offer (IPO) and spin-off of the company’s power and renewable energy business (Banpu Power or BPP) on the Stock Exchange of Thailand. Fresh equity capital will be raised for Banpu Power through the IPO to fund new investments and acquisitions in renewable energy and low-emissions conventional power throughout the Asia-Pacific region. The Banpu Power IPO filing was submitted to the Securities and Exchange Commission (SEC) towards the end of February and has just been approved. “With the SEC approval we are now all set to move towards the IPO of our power business later, at the optimal market timing. Beyond our existing organic growth projects, which will take our equity power portfolio to around 2.4 GW by 2020, the funds from the IPO should facilitate further expansion of our portfolio beyond 4 GW by the early 2020s. We have an exciting future ahead of us” concluded Ms.Chaimongkol.
